I. Privacy Policy
LifeRox values your privacy and has instituted and implemented a Privacy Policy highlighting important information on how the personal and contact information you provide on LifeRox is collected and used. This Privacy Policy is posted for you to read and serves as a guide to ensure that you make the right decisions when posting any information to LifeRox.
II. Content and Information Sharing
All content and information posted by you on LifeRox is under your ownership with you as the sole individual in control of what information is shareable and not through your adjustment of the LifeRox privacy settings.
Use of content contained within LifeRox is accessible under you agreeing to the following:
• Any intellectual property content, including but not limited to video, photos, and stories posted are done so under the premise that you provide LifeRox with a non-exclusive, transferrable, royalty-free, global license, that is in line with your privacy settings. This right extends until the moment which you delete such content or your LifeRox account.
• Upon your deletion of such intellectual property material, this material is removed from LifeRox but may exist in our backup databases even after you have deleted this information (not available to any other user) for a brief period of time.
III. User Protection
It is the utmost priority for us here at LifeRox to ensure that your account information and you as a user are protected. To continue the safe use of LifeRox we ask that you assist us in this effort by agreeing to the following:
• Not send or post unauthorized commercial communications to other LifeRox users.
• Not collect user information, or access LifeRox, using automated means (for example robots or spiders) without the permission of us here at LifeRox.
• Not upload viruses or any malicious code.
• Not solicit login information or access an account belonging to someone else.
• Not insult, harass or intimidate any other LifeRox user.
• Not post hateful, pornographic, malicious content containing nudity or graphic violence.
• Not advertise any content that is cigarette, drug, alcohol or mature/adult content related.
• Not use LifeRox for any illegal, malicious, misleading activities.
• You will not facilitate or encourage any violations of this Statement.
IV. User Registration and Account Protection
LifeRox users will provide their real personal and contact information and we will ensure this the case by having users agree to the following when they create a LifeRox account:
You will not provide any false personal information on LifeRox, or create an account for anyone other than yourself without permission. By registering with LifeRox, you also:
• Agree not to use LifeRox if you are not 13 years of age or older, or have consent of a parent or legal guardian.
• Agree not to use LifeRox if you are on the United States Department list of Specially Designated Nationals or reside in a country that is currently under an embargo by the United States.
• Agree not to use LifeRox if you are a convicted sex offender
• Agree to keep your personal and contact information accurate and up to date.
• Agree not share your LifeRox UserId and password or let any other person access your LifeRox account which may jeopardize the security of your account.
• Agree not to transfer your LifeRox account to any other person without obtaining the express written permission of the LifeRox webmaster, accessible via email at webmaster@myliferox.com.
V. LifeRox Mobile
As LifeRox continues to grow, one key feature we plan on incorporating is LifeRox Mobile which will allow users to access LifeRox via their mobile device. Once this functionality is implemented, LifeRox users agree to the following:
• Access to LifeRox Mobile will be provided free of cost by LifeRox, however, your respective mobile carrier’s standard mobile and text messaging rates still apply.
• Any change or deactivation of your mobile number will be updated by you on your contact information contained within LifeRox within a period of 7 calendar days to ensure messages are sent to the correct person.
VI. Sharing Stories and Other Content
LifeRox users wishing to share content posted on LifeRox to their Facebook, Myspace, other Social Network and Twitter or LifeRox profile agree to the following terms:
a) LifeRox grants you permission to use the Share feature so that LifeRox users are able to post links to stories or content from the LifeRox website to their respective external social network / social media accounts.
b) You grant LifeRox permission to use these links and content on LifeRox.
c) Agree to not share a link to any content that would violate any terms and conditions stated here on LifeRox.
VII. Advertising on LifeRox
By purchasing and posting ad space on LifeRox, you agree to the following terms and conditions:
a) Agree to grant LifeRox permission to use your profile and name in association with the ad content you post.
b) LifeRox agrees not to share or provide your or any other users’ personal or contact information (unless authorized by the user) to you or any other advertisers.
VIII. Advertisement Guidelines
In addition to the stated compliance terms and conditions below, advertisers also agree to all terms and conditions listed on this page as well as our Privacy Policy:
a) Advertiser Accounts
• LifeRox advertisers are not allowed to manage multiple online advertising accounts.
• LifeRox advertisers are not allowed to automate the creation of LifeRox accounts or advertisements.
b) Destination Pages
• Advertisements on LifeRox which contain a website URL or domain name in the body of the advertisement must link directly to that same URL or domain name.
• All users who click on your posted advertisement must be directed to the same URL page when that advertisement is clicked on.
• Pop-up, Pop-under, or Pop-over pages are not permitted to be linked to as advertisements on LifeRox.
• Any page must in fact close when a user clicks on the close ‘X’ icon on the menu bar of the page.
• Users clicking on ads must be able to click the “back button” on the browser once they visit your page and must not be prevented from doing so or be navigated to another page.
• No advertisement may be posted requiring users to enter in any personal or contact information whatsoever with the exception of the user purchasing a good or service from your page with clear indication that this good or service is being offered for sale to the user visiting your page.
• When collecting personal, financial, or contact information from users who are purchasing a good or service on your site, users must be on a secure server or SSL connection.
• Any pages linked to advertisements posted on LifeRox may not contain any LifeRox logos, the LifeRox URL or reference any content on LifeRox.
c) Advertisement Copies
Advertisements on LifeRox must directly relate to the content on the landing page.
• Advertisements on LifeRox must clearly state and represent the company, product, or brand that is being advertised.
• Advertisements on LifeRox must not utilize user personal information attributes, (i.e. gender) unless it is directly relevant to the offer.
• Advertisements on LifeRox may not contain any profanity or be insulting in nature.
d) Advertisement Punctuation and Grammar
• Advertisements on LifeRox must contain text that is grammatically correct and contains proper sentence structure.
• All text advertisements on LifeRox must be written in complete sentences.
• Advertisements on LifeRox may not include excessive repetition (such as "for sale, for sale").
• Advertisement text on LifeRox must use correct spelling.
• Advertisement text on LifeRox must include grammatically correct spacing.
e) Advertisement Capitalization
• Advertisements on LifeRox must use proper, grammatically correct capitalization.
• Advertisements on LifeRox may not include excessive capitalization (such as "ON SALE") or incorrect capitalization (such as capitalizing the first letter of every word in a sentence).
• The title of advertisements on LifeRox, as well as the first word in each sentence, must begin with a capital letter.
f) Advertisement Punctuation
• Advertisements on LifeRox must include logical, correct punctuation.
• Advertisements on LifeRox may not have repeated and unnecessary punctuation (i.e. "Limited Time Only")
• Advertisements on LifeRox must have all complete sentences (including if the ad title is a complete sentence) end with a single punctuation mark, no dashes, dotted lines, etc.
• Exclamation points may not be used in the title of any advertisement.
g) Advertisement Symbols
• Advertisements on LifeRox that use symbols, numbers, or letters must have them adhere to their true meaning.
• Advertisements on LifeRox may not include repeated and unnecessary symbols
• Advertisements on LifeRox may not use symbols for:
• Substituting for letters (i.e. "$ign" instead of "sign").
• Substituting entire words (i.e. "&" instead of "and").
• Unnecessary abbreviations to shorten the number of characters (i.e. “@” instead of "at").
• Advertisements on LifeRox may use symbols if:
• The symbol is part of the product or brand name.
• The $ symbol is paired with a dollar amount (i.e. "Save $50 off").
• The # symbol is used for comparative phrases (e.g. "Rated #1 by Consumer News").
h) Advertisement language and images
• Advertisements on LifeRox containing pornographic, provocative, or violent images are prohibited.
• Advertisements on LifeRox may not contain or promote adult content including nudity, sexual terms and/or images of people in positions or activities that are excessively suggestive or sexual.
• Advertisements on LifeRox may not contain, facilitate or promote offensive, profane, vulgar, obscene, or inappropriate language.
• Advertisements on LifeRox may not contain, facilitate or promote defamatory, libelous, slanderous and/or unlawful content.
i) Prohibited Advertisement Content
LifeRox does not accept advertising referencing, facilitating or prompting the following:
• Any tobacco products
• Ammunition, firearms, paintball guns, BB guns, or weapons of any kind
• Gambling, including without limitation any online casino, sports books, bingo, or poker
• Software downloads, freeware, or shareware
• Scams, illegal activity and/or illegal contests, pyramid schemes, or chain letters
• Uncertified pharmaceutical products
• Adult friend finders or dating sites with a sexual emphasis
• Adult toys, videos, or other adult products
• Web cams or surveillance equipment
• Web-based non-accredited colleges that offer degrees
• Inflammatory religious content
• Politically religious agendas and/or any known associations with hate, criminal and/or terrorist activities
• Political content that exploits political agendas or uses "hot button" political issues for commercial use regardless of whether the advertiser has a political agenda
• Hate speech, whether directed at an individual or a group, and whether based upon the race, sex, creed, national origin, religious affiliation, marital status, sexual orientation or language of such individual or group
• Content that advocates against any organization, person, or group of people, with the exception of candidates running for public office
• Content that depicts a health condition in a derogatory or inflammatory way or misrepresents a health condition in any way.
j) LifeRox References
• Advertisements on LifeRox are not permitted to mention or refer to LifeRox, its site or its brand in any manner, including in the title, body, image, or destination URLs.
• Advertisements on LifeRox must not use logos, trademarks, or website terms such as community or events.
• LifeRox website features may not be reproduced or copied in any way.
k) Advertisements on LifeRox for Alcoholic Beverages
• Advertisements on LifeRox must all be targeted to users aged 21 years old or older in the United, aged 19 years old or older in Canada, aged 18 years old or older in the United Kingdom, and aged 21 years old or older in any other country.
• LifeRox recommends that the advertisement contain text that promotes drinking responsibility. Acceptable examples include "Drink Responsibly" and "Drink Smart."
• No advertisements on LifeRox should include content that might appeal to minors by implying that the consumption of alcoholic beverages is fashionable or the accepted course of behavior for those who are underage.
• No advertisements on LifeRox promoting alcoholic beverages should include any person under the age of 21 or be suggestive of the presence of minors.
• Advertisements on LifeRox may not portray or promote intoxication.
• Advertisements on LifeRox should not induce people to consume alcohol in excess, make references to the intoxicating effects of alcohol, and depict activities that encourage excessive consumption or that encourage drinking at a rapid rate, or suggest the strength of the alcoholic beverage being advertised.
• Advertisements on LifeRox may not promote any giveaways as a reward for purchasing the alcoholic product.
l) Advertisements may not include incentives
• No advertisements on LifeRox may offer incentives to viewers for clicking on the ad, for submitting personal information (phone numbers, social security numbers, physical addresses, email addresses, etc.), or for performing any other tasks.
m) Advertisements that include prices, discounts, and free offers
• No advertisements on LifeRox may be deceptive or fraudulent about any offer it makes.
• If an advertisement on LifeRox includes a price, discount, or 'free' offer, the destination URL for the ad must link to a page that clearly and accurately offers the exact deal the ad has displayed.
• If an advertisement on LifeRox includes a price, discount, or 'free' offer, the advertisement must clearly state what action or set of actions is required to qualify for the offer.
n) Advertisement copyrights and trademarks
• In both ad text and images, you must not include any content that may be deemed as infringing upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary right, or that is deceptive or fraudulent.
• Advertisers placing advertisements on LifeRox must have intellectual property rights to the creative and be permitted to display such creative as advertising on the LifeRox Site.
o) Advertisement Spam
• No advertisements on LifeRox may contain, facilitate or promote 'spam' or other advertising or marketing content that violates applicable laws, regulations or industry standards.
p) Advertisement Downloads
• No advertisement on LifeRox is permitted to contain or link, whether directly or indirectly, to a site that contains software downloads, freeware, or shareware.
• No advertisement on LifeRox is permitted to facilitate or promote:
ο A collection of demographic and usage information from a user's computer without the user's express consent,
ο A collection or request of usernames or passwords from any user,
ο The proxying user names or passwords for the purpose of automating logins to the LifeRox website,
ο Containing or distributing any software that (i) "sneaks" onto a user's system and performs activities hidden to the user, (ii) may alter, harm, disable or replace any hardware or software installed on user's computer without express permission from the user, (iii) is bundled as a hidden component of other software whether free or for fee, (iv) automatically downloads without LifeRox's express prior approval, (v) presents any download dialog boxes without a user's express action, or (vi) may violate or infringe upon the intellectual property rights of any third party, including copyright, trademark, patent or any other proprietary right.
q) Advertisement Subscription Services
• The advertisement of Subscription Services must comply with the conditions noted below and as determined by LifeRox in its sole discretion. "Subscription Services" may include sites that promote downloading ringtones, wallpaper, or text messages for predictions, love life advice, news, personality quizzes, or other entertainment services or any site that induces a user to sign up for recurring billing of a product or service.
r) Subscription Services conditions:
• The promoted website must clearly and accurately display the price and billing interval (such as per week or once per month) on the landing page as well as any page that prompts a user for personal information (including, but not limited to, name, email address or phone number) or billing information (including, but not limited to, mobile phone number or credit card number).
• If users sign up to your service by transmitting a code by text message, the price and billing interval must be clearly and prominently displayed beside the code.
• If your service is a subscription, you must provide a prominent opt-in checkbox or other clear mechanism indicating that the user knowingly accepts the price and subscription service. This should be on the first page the user enters personal data, and the user should not be able to proceed without opting in.
• All of the foregoing items should be located in a prominent place on your webpage, as determined by LifeRox in its sole discretion, and should be easy to find, read, and understand.
s) If you are placing ads on someone else's behalf, we need to make sure you have permission to place those ads, including the following:
• When you place an advertisement order, you will tell us the type of advertising you want to buy, the amount you want to spend, and your bid. Once accepted your advertisement order, will be delivered as inventory becomes available.
• You will pay for your advertisement order in accordance with our Advertisement Guidelines. The amount you owe will be calculated based on our tracking mechanisms.
• Your advertisement will comply with our Advertisement Guidelines
• We will determine the size, placement, and positioning of your ads.
• We do not guarantee the activity that your ads will receive, such as the number of clicks you will get.
• We cannot control how people interact with your ads, and are not responsible for click fraud or other improper actions that affect the cost of running ads.
• You will not offer any contest or sweepstakes ("promotion") without our prior written consent.
• You can cancel your advertisement order at any time through our online portal, but it may take us seven days before the ad stops running.
• Our license to run your advertisement will end when we have completed your selected advertisement order period. You understand, however, that if users have interacted with your advertisement, your advertisement may remain until the users delete it.
• We can use your advertisement and related information for marketing or promotional purposes.
• You will not issue any press release or make public statements about your relationship with LifeRox without written permission of the LifeRox webmaster accessible at webmaster@myliferox.com
• We may reject or remove any advertisement for any reason.
• You warrant that you have the legal authority to bind the advertiser to this Statement.
• You agree that if the advertiser you represent violates this Statement, we may hold you responsible for that violation.
t) Termination
If you violate the letter or spirit of this Statement, or otherwise create possible legal exposure for us, we can stop providing all or part of LifeRox to you. We will generally try to notify you, but have no obligation to do so. You may also delete your account or disable your application at any time.
u) Disputes
• You will resolve any claim, cause of action or dispute you have with us arising out of or relating to this Statement or LifeRox in a state or federal court located in Fairfax County. The laws of the State of Virginia will govern this Statement, as well as any claim that might arise between you and us, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Fairfax County, Virginia for the purpose of litigating all such claims.
• If anyone brings a claim against us related to your actions or your content on LifeRox, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.
v) Security
LifeRox is an "AS IS" application. We do not guarantee that LifeRox will be 100% secure or safe and are not responsible for the actions or content of third parties. Directors, Officers, and Employees are released from any claims or damages connected in any way connected with claims you have against any third parties.
w) Definitions Explained
• By "LifeRox" we mean the features and services we make available, including through (a) our website at LifeRox www.myliferox.com and any other LifeRox branded or co-branded websites (including sub-domains, international versions, and mobile versions); (b) our Platform; and (c) other media, devices or networks now existing or later developed.
• By "us," "we" and "our" we mean LifeRox, Inc. and/or its affiliates.
• By "Platform" we mean a set of APIs and services that enable applications, developers, operators or services to retrieve data from LifeRox and provide data to us relating to LifeRox users.
• By "content" we mean the content and information you post on LifeRox, including information about you and the actions you take.
• By "post" we mean post on LifeRox or otherwise make available to us.
• By "use" we mean use, copy, publicly perform or display, distribute, modify, translate, and create derivative works of.
x) Other Relevant Information
• This Statement makes up the entire agreement between the parties regarding LifeRox, and supersedes any prior agreements.
• If any portion of this Statement is found to be unenforceable, the remaining portion will remain in full force and effect.
• If we fail to enforce any of this Statement, it will not be considered a waiver.
• Any amendment to or waiver of this Statement must be made in writing and signed by us.
• You will not transfer any of your rights or obligations under this Statement to anyone else without our consent.
• All of our rights and obligations under this Statement are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
• Nothing in this Agreement shall prevent us from complying with the law.
• This Statement does not confer any third party beneficiary rights.

• Advertisements on LifeRox may not contain or promote adult content including nudity, sexual terms and/or images of people in positions or activities that are excessively suggestive or sexual.
• Advertisements on LifeRox may not contain, facilitate or promote offensive, profane, vulgar, obscene, or inappropriate language.
• Advertisements on LifeRox may not contain, facilitate or promote defamatory, libelous, slanderous and/or unlawful content.
i) Prohibited Advertisement Content
LifeRox does not accept advertising referencing, facilitating or prompting the following:
• Any tobacco products
• Ammunition, firearms, paintball guns, BB guns, or weapons of any kind
• Gambling, including without limitation any online casino, sports books, bingo, or poker
• Software downloads, freeware, or shareware
• Scams, illegal activity and/or illegal contests, pyramid schemes, or chain letters
• Uncertified pharmaceutical products
• Adult friend finders or dating sites with a sexual emphasis
• Adult toys, videos, or other adult products
• Web cams or surveillance equipment
• Web-based non-accredited colleges that offer degrees
• Inflammatory religious content
• Politically religious agendas and/or any known associations with hate, criminal and/or terrorist activities
• Political content that exploits political agendas or uses "hot button" political issues for commercial use regardless of whether the advertiser has a political agenda
• Hate speech, whether directed at an individual or a group, and whether based upon the race, sex, creed, national origin, religious affiliation, marital status, sexual orientation or language of such individual or group
• Content that advocates against any organization, person, or group of people, with the exception of candidates running for public office
• Content that depicts a health condition in a derogatory or inflammatory way or misrepresents a health condition in any way.
j) LifeRox References
• Advertisements on LifeRox are not permitted to mention or refer to LifeRox, its site or its brand in any manner, including in the title, body, image, or destination URLs.
• Advertisements on LifeRox must not use logos, trademarks, or website terms such as community or events.
• LifeRox website features may not be reproduced or copied in any way.
k) Advertisements on LifeRox for Alcoholic Beverages
• Advertisements on LifeRox must all be targeted to users aged 21 years old or older in the United, aged 19 years old or older in Canada, aged 18 years old or older in the United Kingdom, and aged 21 years old or older in any other country.
• LifeRox recommends that the advertisement contain text that promotes drinking responsibility. Acceptable examples include "Drink Responsibly" and "Drink Smart."
• No advertisements on LifeRox should include content that might appeal to minors by implying that the consumption of alcoholic beverages is fashionable or the accepted course of behavior for those who are underage.
• No advertisements on LifeRox promoting alcoholic beverages should include any person under the age of 21 or be suggestive of the presence of minors.
• Advertisements on LifeRox may not portray or promote intoxication.
• Advertisements on LifeRox should not induce people to consume alcohol in excess, make references to the intoxicating effects of alcohol, and depict activities that encourage excessive consumption or that encourage drinking at a rapid rate, or suggest the strength of the alcoholic beverage being advertised.
• Advertisements on LifeRox may not promote any giveaways as a reward for purchasing the alcoholic product.
l) Advertisements may not include incentives
• No advertisements on LifeRox may offer incentives to viewers for clicking on the ad, for submitting personal information (phone numbers, social security numbers, physical addresses, email addresses, etc.), or for performing any other tasks.
m) Advertisements that include prices, discounts, and free offers
• No advertisements on LifeRox may be deceptive or fraudulent about any offer it makes.
• If an advertisement on LifeRox includes a price, discount, or 'free' offer, the destination URL for the ad must link to a page that clearly and accurately offers the exact deal the ad has displayed.
• If an advertisement on LifeRox includes a price, discount, or 'free' offer, the advertisement must clearly state what action or set of actions is required to qualify for the offer.
n) Advertisement copyrights and trademarks
• In both ad text and images, you must not include any content that may be deemed as infringing upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary right, or that is deceptive or fraudulent.
• Advertisers placing advertisements on LifeRox must have intellectual property rights to the creative and be permitted to display such creative as advertising on the LifeRox Site.
o) Advertisement Spam
• No advertisements on LifeRox may contain, facilitate or promote 'spam' or other advertising or marketing content that violates applicable laws, regulations or industry standards.
p) Advertisement Downloads
• No advertisement on LifeRox is permitted to contain or link, whether directly or indirectly, to a site that contains software downloads, freeware, or shareware.
• No advertisement on LifeRox is permitted to facilitate or promote:
ο A collection of demographic and usage information from a user's computer without the user's express consent,
ο A collection or request of usernames or passwords from any user,
ο The proxying user names or passwords for the purpose of automating logins to the LifeRox website,
ο Containing or distributing any software that (i) "sneaks" onto a user's system and performs activities hidden to the user, (ii) may alter, harm, disable or replace any hardware or software installed on user's computer without express permission from the user, (iii) is bundled as a hidden component of other software whether free or for fee, (iv) automatically downloads without LifeRox's express prior approval, (v) presents any download dialog boxes without a user's express action, or (vi) may violate or infringe upon the intellectual property rights of any third party, including copyright, trademark, patent or any other proprietary right.
q) Advertisement Subscription Services
• The advertisement of Subscription Services must comply with the conditions noted below and as determined by LifeRox in its sole discretion. "Subscription Services" may include sites that promote downloading ringtones, wallpaper, or text messages for predictions, love life advice, news, personality quizzes, or other entertainment services or any site that induces a user to sign up for recurring billing of a product or service.
r) Subscription Services conditions:
• The promoted website must clearly and accurately display the price and billing interval (such as per week or once per month) on the landing page as well as any page that prompts a user for personal information (including, but not limited to, name, email address or phone number) or billing information (including, but not limited to, mobile phone number or credit card number).
• If users sign up to your service by transmitting a code by text message, the price and billing interval must be clearly and prominently displayed beside the code.
• If your service is a subscription, you must provide a prominent opt-in checkbox or other clear mechanism indicating that the user knowingly accepts the price and subscription service. This should be on the first page the user enters personal data, and the user should not be able to proceed without opting in.
• All of the foregoing items should be located in a prominent place on your webpage, as determined by LifeRox in its sole discretion, and should be easy to find, read, and understand.
s) If you are placing ads on someone else's behalf, we need to make sure you have permission to place those ads, including the following:
• When you place an advertisement order, you will tell us the type of advertising you want to buy, the amount you want to spend, and your bid. Once accepted your advertisement order, will be delivered as inventory becomes available.
• You will pay for your advertisement order in accordance with our Advertisement Guidelines. The amount you owe will be calculated based on our tracking mechanisms.
• Your advertisement will comply with our Advertisement Guidelines
• We will determine the size, placement, and positioning of your ads.
• We do not guarantee the activity that your ads will receive, such as the number of clicks you will get.
• We cannot control how people interact with your ads, and are not responsible for click fraud or other improper actions that affect the cost of running ads.
• You will not offer any contest or sweepstakes ("promotion") without our prior written consent.
• You can cancel your advertisement order at any time through our online portal, but it may take us seven days before the ad stops running.
• Our license to run your advertisement will end when we have completed your selected advertisement order period. You understand, however, that if users have interacted with your advertisement, your advertisement may remain until the users delete it.
• We can use your advertisement and related information for marketing or promotional purposes.
• You will not issue any press release or make public statements about your relationship with LifeRox without written permission of the LifeRox webmaster accessible at webmaster@myliferox.com
• We may reject or remove any advertisement for any reason.
• You warrant that you have the legal authority to bind the advertiser to this Statement.
• You agree that if the advertiser you represent violates this Statement, we may hold you responsible for that violation.
t) Termination
If you violate the letter or spirit of this Statement, or otherwise create possible legal exposure for us, we can stop providing all or part of LifeRox to you. We will generally try to notify you, but have no obligation to do so. You may also delete your account or disable your application at any time.
u) Disputes
• You will resolve any claim, cause of action or dispute you have with us arising out of or relating to this Statement or LifeRox in a state or federal court located in Fairfax County. The laws of the State of Virginia will govern this Statement, as well as any claim that might arise between you and us, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Fairfax County, Virginia for the purpose of litigating all such claims.
• If anyone brings a claim against us related to your actions or your content on LifeRox, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.
v) Security
LifeRox is an "AS IS" application. We do not guarantee that LifeRox will be 100% secure or safe and are not responsible for the actions or content of third parties. Directors, Officers, and Employees are released from any claims or damages connected in any way connected with claims you have against any third parties.
w) Definitions Explained
• By "LifeRox" we mean the features and services we make available, including through (a) our website at LifeRox www.myliferox.com and any other LifeRox branded or co-branded websites (including sub-domains, international versions, and mobile versions); (b) our Platform; and (c) other media, devices or networks now existing or later developed.
• By "us," "we" and "our" we mean LifeRox, Inc. and/or its affiliates.
• By "Platform" we mean a set of APIs and services that enable applications, developers, operators or services to retrieve data from LifeRox and provide data to us relating to LifeRox users.
• By "content" we mean the content and information you post on LifeRox, including information about you and the actions you take.
• By "post" we mean post on LifeRox or otherwise make available to us.
• By "use" we mean use, copy, publicly perform or display, distribute, modify, translate, and create derivative works of.
x) Other Relevant Information
• This Statement makes up the entire agreement between the parties regarding LifeRox, and supersedes any prior agreements.
• If any portion of this Statement is found to be unenforceable, the remaining portion will remain in full force and effect.
• If we fail to enforce any of this Statement, it will not be considered a waiver.
• Any amendment to or waiver of this Statement must be made in writing and signed by us.
• You will not transfer any of your rights or obligations under this Statement to anyone else without our consent.
• All of our rights and obligations under this Statement are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
• Nothing in this Agreement shall prevent us from complying with the law.
• This Statement does not confer any third party beneficiary rights.
